The Board of Governors (Board) will support the work of Leadership Montana and provide mission-based leadership and strategic governance. The day-to-day operations are led by Leadership Montana’s Executive Director who serves at the pleasure of the Board. The Board- Executive Director relationship operates as a strategic partnership. The Executive Director is expected to call on Board members for guidance and input from time to time and Board members are expected to be responsive to the Executive Director's requests. Specific Governor responsibilities include:

Leadership, governance and oversight
• Serving as a trusted advisor to the Executive Director as s/he develops Leadership Montana’s strategic plan for Board review and approval.The Executive Director may also need assistance implementing various components of the strategic plan
• Regularly review outcomes and metrics created by the Board for evaluating the Organization’s impact, and regularly measuring the Organization’s performance and effectiveness using those metrics
• Reviewing agenda and supporting materials prior to Board and Committee meetings in order to be fully prepared for the Board and Committee meetings
• Approving Leadership Montana’s annual budget, audit reports, and material business decisions; being informed of, and meeting all, legal and fiduciary responsibilities
• Contributing to an annual performance evaluation of the Executive Director
• Assisting the Executive Director, Board Chair, and Governance Committee Chair in identifying and recruiting other potential Governors
• Partnering with theExecutive Director and other Governors to ensure enactment of board resolutions
• Serving on standing Committees (Executive, Alumni, Development, Finance, Governance, and Selection), ad hoc committees, task forces, or special assignments as the Board Chair may assign
• Representing Leadership Montana to stakeholders; acting as an ambassador for the organization
• Ensuring Leadership Montana’s commitment to a diverse Board and staff that reflects the communities Leadership Montana serves

Fundraising
Governors should consider Leadership Montana a philanthropic priority and annual gifts that reflect that priority are an expectation. To provide Leadership Montana credibly in soliciting contributions from foundations, organizations, and individuals, Leadership Montana expects to have 100 percent of Governors make an annual contribution that is commensurate with their capacity. These contributions may include expenses incurred in attending Board and / or Committee meetings and/or monetary donations to the operating fund or endowment.

Qualifications
This is an opportunity for an individual who is passionate about Leadership Montana’s mission and who has a track record of board leadership. Selected Governors will have achieved leadership stature in business, government, philanthropy, or the nonprofit sector. His/her accomplishments will allow him/her to attract other well-qualified, high-performing Governors.

Ideal candidates will have the following qualifications:
• Being a graduate of the Program is preferred, but not required
• Extensive professional experience with significant executive leadership accomplishments in business, government, philanthropy, or the nonprofit sector
• A commitment to and understanding of Leadership Montana’s Mission preferably based on experience
• Savvy diplomatic skills and a natural affinity for cultivating relationships and persuading, convening, facilitating, and building consensus among diverse individuals
• Personal qualities of integrity, credibility, curiosity, and accountability. <
