Section 1: Committee & Subcommittee Application Criteria
  1. Applicant's company must be in good standing with WBE Canada, certified for more than 1 year. 
  2. Applicants must be of good repute in business or in their professional community.  They should have the reputation for integrity, honesty as well as adherence to high ethical standards. Applicants should have demonstrated business acumen, experience and the ability to exercise sound judgments related to activities of SAC and WBE Canada.
  3. Applicants must exhibit a commitment to WBE Canada by attending a minimum of 75% of all Committee meetings and be a Certified WBE in good standing with WBE Canada. If a Committee Member is unable to attend any meetings, they should provide prior notice of at least 24 hours to the Committee Chair and WBE Canada President. A member will resign their position if in any given year they miss three (3) consecutive meetings of the Committee. However, consideration to waiving this policy will be given for unique circumstances. In order to request exemption from said policy, a Committee Member must contact the Committee Chair and WBE Canada President in writing and receive written confirmation of an approved exemption. Alternatively, the incumbent may appoint an appropriate back-up from his/her Corporation as a replacement for the balance of the term. Said replacement may be eligible for nomination for the new, upcoming term. 
  4. Applicants must be willing to actively market and promote WBE Canada. Committee Members are expected to be the advocates for WBE Canada and are expected to encourage Corporations and other WBEs to join WBE Canada and/or participate in the Subcommittees.
  5. Applicants must actively participate in (Sub)Committee discussions and debate, respecting other members' opinions and, upon reaching consensus on any and every issue, commit to the full support of all Committee decisions, be they unanimous or not. Committee Members must actively participate by taking ownership for actions and tasks to support the Committee and the Board. Committee Members should deliver the assigned tasks within the agreed deadline, and share them with the committee at least 48 hours prior to a meeting where said task is to be reviewed by other Committee Members.
  6. Generally, committee meetings are conducted remotely via teleconferencing. However, Committee Members are encouraged to utilize video conferencing, if possible. Applicants must be prepared to serve without remuneration and no Member shall directly or indirectly receive any profit from his/her involvement. 
  7. Applicants will be required to provide to the Nomination Subcommittee an application outlining their background, suitability, interest in WBE Canada and expected contribution to the Board.
  8. Applicants shall not have, nor appear to have, a conflict of interest that would affect the Applicant's ability to represent WBE Canada.
  9. Applicants are expected to sign a Confidentiality Agreement.

WBE Canada acknowledges that members may have access to confidential information while carrying out their duties. Such confidential information may include, but is not limited to:
  • Personal information regarding employees, stakeholders, volunteers and donors
  • Non-public information such as employee names, non-public addresses, etc. related to agencies, grantees, and applicants obtained through the application review process, and confidential information from discussions and decisions during the application review process
  • Sensitive information obtained from program participants
  • Privileged information obtained from stakeholders and corporate partners
  • Classified financial and operational data
All volunteers shall adhere to the Privacy Policy and will not disclose, divulge, or make accessible confidential and personal information to any outside party, other than to persons who have a legitimate need for such information and to whom WBE Canada has authorized disclosure. 

Volunteers must exercise good judgment and care to avoid unauthorized or improper disclosures of confidential information. Conversations in public places, such as restaurants, elevators, and public transportation, should be limited to matters that do not pertain to information of a sensitive or confidential nature. In addition, members should be sensitive to the risk of inadvertent disclosure and should for example, refrain from leaving confidential information on desks or otherwise in plain view and refrain from the use of speaker phones to discuss confidential information if the conversation could be heard by unauthorized persons. If members are unclear about how to manage any confidentiality or information sharing, they should discuss it with the President & CEO or SAC Chair.

Departing members shall return all documents, papers, and other materials, regardless of medium, which may contain or be derived from confidential information, in her or his possession.
