Section 1: CHAIR ROLE DESCRIPTION
Responsibilities:
  1. The Chair oversees the affairs of the Supplier Advisory Committee (SAC) at WBE Canada. The Chair takes on the concerns for the Committee as a whole and is attentive to the process and function. The Chair offers creative team leadership to ensure that all Committee Members are actively engaged.
  2. The Chair acts as chair of all SAC meetings. SAC holds a minimum of four (4) SAC meetings per year.
  3. The Chair is responsible for ensuring that SAC meetings are conducted in a manner that reflects the SAC Terms of Reference and are structured to facilitate active discussions and effective decision-making.
  4. The Chair's primary business is that of Certified WBEs and work related thereof to the exclusion of one's own corporate business.
  5. To ensure SAC effectiveness, the Chair may remove any SAC Member who misses two(2) or more meetings without prior notice to the Chair or President.
  6. The Chair maintains regular communication with the President.
  7. The Chair takes responsibility for overseeing the work of SAC.
  8. The Chair must uphold the highest standards of confidentiality.
  9. The Chair will also assume the role of WBE Canada Board Director representing Certified WBE Community and the SAC at Board meetings and the Annual General Members (AGM) meeting.
  10. The Chair is a sitting member of the Nomination Subcommittee.
  11. The Chair is expected to collaborate proactively with the Chair of each SAC Subcommittee.
Qualifications:
  • SAC Member with a minimum one (1) year experience on WBE Canada’s SAC committee
  • Owner or co-owner of a WBE Certified company in good standing with WBE Canada
  • Strong leadership skills
  • Excellent communication skills
  • Commitment and passion for the mission of WBE Canada
Appointments:
  • Only existing SAC Member can be elected Chair and consequently by the Board as Board Director.
  • The Chair is elected by a majority vote of the SAC Members. Applicants must recuse themselves from the voting of the SAC on their election.
  • The Chair will serve for a one (1) year term with an option to extend annually for the duration of SAC membership, except as otherwise determined by the Board. Chair position can not extend beyond SAC membership
  • Expected time commitment is 7-10 hours per month.
Section 2: VICE-CHAIR ROLE DESCRIPTION
Responsibilities:
  1. If the Chair of the Supplier Advisory Committee is absent or is unable or refuses to act in their capacity as Chair, the Vice-Chair will act as chair of SAC meetings, and will be responsible for all duties of the Chair.
  2. The Vice-Chair is also a WBE Canada Board Director with full voting privileges.
  3. The expectation is for the Vice-Chair to eventually move to a Chair position with the Supplier Advisory Committee. Chair position is not awarded automatically but rather via a formal election process at the Supplier Advisory Committee level.
  4. The Vice-Chair is a sitting member of the Nomination Subcommittee.
  5. The Vice-Chair is expected to collaborate proactively with the Chair of each SAC Subcommittee.

  • Subsequently, the Vice-Chair is elected by a majority vote of the Board of Directors as a Board Director.
  • The Vice-Chair will serve for a one (1) year term with an option to extend annually in accordance with the SAC Terms of Reference, except as otherwise determined by the Board. The Vice-Chair position can not extend beyond SAC membership.

WBE Canada acknowledges that volunteers may have access to confidential information while carrying out their duties. Such confidential information may include, but is not limited to:
  • Personal information regarding employees, stakeholders, volunteers and donors
  • Non-public information such as employee names, non-public addresses, etc. related to agencies, grantees, and applicants obtained through the application review process, and confidential information from discussions and decisions during the application review process
  • Sensitive information obtained from program participants
  • Privileged information obtained from stakeholders and corporate partners
  • Classified financial and operational data
All volunteers shall adhere to the Privacy Policy and will not disclose, divulge, or make accessible confidential and personal information to any outside party, other than to persons who have a legitimate need for such information and to whom WBE Canada has authorized disclosure.

Volunteers must exercise good judgement and care to avoid unauthorized or improper disclosures of confidential information. Conversations in public places, including but not limited to restaurants, elevators, and public transportation, should not pertain to information of a sensitive or confidential nature. In addition, volunteers should be sensitive to the risk of inadvertent disclosure and should, for example, refrain from leaving confidential information on desks in common areas or otherwise in plain view and refrain from the use of speaker phones to discuss confidential information if the conversation could be heard by unauthorized persons. If volunteers are unclear about how to manage any confidentiality or information sharing, they should discuss it with the President & CEO or Board Chair.

Departing volunteers shall return all documents, papers, and other materials, regardless of medium, which may contain or be derived from confidential information, in her or his possession.
