TABLETOP VENDOR AGREEMENT TERMS AND CONDITIONS

1. ELIGIBILITY TO PARTICIPATE. The National Coffee Association reserves the right to accept or reject at its sole discretion any application to exhibit and to determine the eligibility of any proposed exhibit. The acceptance of a product or service for tabletop does not constitute an endorsement by the National Coffee Association. In addition, the National Coffee Association will not sell exhibit space to any for-profit or non-profit organizations whose programs, products, and/or services, in whole or in part, compete with the National Coffee Association programs, products, and/or services; conflict with the National Coffee Association’s advocacy responsibilities to its members or the industry; or do not fit within the mission of the National Coffee Association. The National Coffee Association may deny, or revoke eligibility based on a violation of any terms or conditions set forth herein or for any action determined to detract from the character of the tabletop. The enforcement of these rights is at the sole and absolute discretion of the National Coffee Association.

2. FLOOR PLAN AND TABLETOP ASSIGNMENT. The National Coffee Association reserves the right to change/adjust the floor plan, where necessary, to facilitate good order, safety, and a successful traffic flow. Tabletop assignments will be made in the order that completed agreements are received. Phone reservations will be accepted, but firm table assignments will not be made until payment is received. The tabletop area is located in the Tampa Marriott Water Street, Grand Ballroom Foyer, 2nd Floor.

3. NO REPRESENTATIONS OR WARRANTIES. The National Coffee Association makes no representations or warranties, express or implied, regarding the number or type of persons who will attend the 2023 National Coffee Association Annual Convention. Exhibitor understands that the National Coffee Association can only provide Exhibitor with attendance estimates based on the attendance of prior National Coffee Association Annual Conventions and that the National Coffee Association is not promising that the 2023 National Coffee Association Annual Convention will have any particular attendance or demographic of attendees, that the tabletop area or Exhibitor’s tabletop will have any particular amount of traffic, and that the Exhibitor will receive any business at all from participation as an Exhibitor or from Exhibitor’s presence at the 2023 National Coffee Association Annual Convention.
4. TABLETOP.  A standard 6’x30” covered table, two chairs, and a wastebasket are provided. All displays are limited to the surface of the table provided and the space immediately behind the table. Pop-up booths are not allowed. Table display banners, signs, products, monitors, and items must not exceed 48 inches in height (from the top of the table) and 48 inches in width. Floor-standing displays (banners /signs) are permitted but must not exceed 84 inches in height and 48 inches in width. Floor-standing displays (banners /signs) MUST be positioned behind the table. There will be approximately 3 feet behind the table which includes the space needed for the optionally provided chairs. Up to two floor-standing displays (banners /signs) are permitted but combined may not exceed the floor display size restrictions above. No banners, signs, products, monitors, or items of any kind are permitted beside or in front of the tabletop. All banners and signs may only be printed on one side. Audio/visual aids or equipment may not be played at a level that would interfere with adjacent Exhibitors or convention sessions. The National Coffee Association reserves the right to remove any items that are not in compliance with these terms and conditions. The National Coffee Association may also decline to permit persons, conduct, articles of merchandise, printed matter, souvenirs, catalogs, and any other items without limitation, which affect the character of the tabletop area. The enforcement of these rights is at the sole and absolute discretion of the National Coffee Association.

5. FOOD AND BEVERAGE. Any food or beverage provided by the Exhibitor must be provided in a manner consistent with all applicable laws, regulations, and guidance, including the Food Safety Modernization Act (FSMA).  Exhibitors must notify the hotel of their intent to serve food and will pay any fees imposed directly to the hotel. If providing or serving any food or beverage samples, an allergen declaration and the ingredient list must be prominently labeled on the product packaging and/or indicated where the food or beverage is being served. State and local laws regarding medical and adult-use/recreational cannabis notwithstanding, Exhibitors understand that the use, possession, and/or distribution of CBD (cannabidiol) or cannabis products or additives at the Convention are strictly prohibited.  Alcoholic beverages may not be displayed, demonstrated, promoted, or distributed from any tabletop, without the specific prior permission of the National Coffee Association. The National Coffee Association reserves the right to remove any items not in compliance with these terms and conditions. The enforcement of these rights is at the sole and absolute discretion of the National Coffee Association.

6. REGISTRATION AND STAFFING.  Exhibitor staff must be registered for the Convention. The rental fee includes one (1) Exhibitor Registration. One (1) additional Exhibitor Registration for another Exhibitor representative from the same company with responsibility to staff the tabletop may be purchased for $700.00 for members and $900.00 for non-members. Exhibitor Registration includes admission to all Convention sessions and receptions on March 9, 10, and 11, 2023. Exhibitors must staff their tabletop display individually and consistently at all times during tabletop hours. During tabletop “optional” hours, Exhibitors may attend Convention sessions. The dress code is business casual attire. Exhibitor registration is non-transferable. Exhibitor registration may only be assigned to a designated employee from the same company, and advanced notification to the National Coffee Association of such assignment must be in writing.
7. Confidentiality. As an industry trade association, the National Coffee Association will not accept receipt of any confidential company-specific information from the Exhibitor and the Exhibitor agrees that it will not furnish any such information to the National Coffee Association.
8. LISTING AND PROMOTIONAL MATERIALS. By exhibiting at the 2023 National Coffee Association Annual Convention, Exhibitor grants the National Coffee Association, a perpetual non-exclusive, royalty-free, license to use, display and reproduce the name, logo, and contact information of the Exhibitor on the National Coffee Association website, and in any directory listing the exhibiting companies at the 2023 National Coffee Association Annual Convention, and to use such names and logos in promotional materials, including future National Coffee Association Annual Conventions promotions listing prior Exhibitors. The National Coffee Association shall not be liable for any errors in any listing or descriptions or for omitting the Exhibitor and Exhibitor staff from the directory or other lists or materials.
 
9. THIRD-PARTY SERVICES (TRANSPORTATION/SETUP).  All transportation including shipping and delivery costs and any other costs related to tabletop setup not explicitly outlined by the National Coffee Association are to be paid by the Exhibitor. Shipment of Tabletop Display and Materials: Exhibitors are responsible for the arrangement of and payment for shipment of their Tabletop display and materials, including registration tote bag inserts, to and from the 2023 National Coffee Association Annual Convention. Electric/Audio/Visual/Internet Service: Exhibitors are responsible for the arrangement of and payment for their individual electric, audio, visual, and Internet needs. Food/Beverage: Exhibitors are responsible for the arrangement of and payment for their individual Food and Beverage needs, including, but not limited to, water for coffee sampling preparation, sugar, milk, etc., as needed as part of their exhibit. Exhibitor acknowledges and agrees that Exhibitor’s participation, correspondence, or business dealings with any third party in connection with the 2023 National Coffee Association Annual Convention (regarding payment and delivery of specific goods and services or otherwise), and any other terms, conditions, representations or warranties associated with such dealings, are solely between Exhibitor and such third party or parties. Exhibitor agrees that the National Coffee Association shall not be responsible or liable for any loss, liability, or damage of any kind incurred as a result of such dealings.
                                                                                                    
10. GIVEAWAYS/CONTESTS. Any Exhibitor having a contest or drawing of any kind must follow all governmental laws, ordinances, rules, and regulations. It is the Exhibitor's responsibility to make sure they correctly follow all rules and regulations. Any violations will be at the sole expense and fault of the Exhibitor. The National Coffee Association is not responsible or liable for any contests, drawings, or giveaways held prior to, during, or after the 2023 National Coffee Association Annual Convention.
11. COMMUNICATIONS AND NCA CONVENTION POLICIES. As part of this agreement, the National Coffee Association will be sending you future information about benefits granted to Exhibitors of the 2023 National Coffee Association Annual Convention and about National Coffee Association initiatives, resources, programs, and membership.  It is in the legitimate interest of the National Coffee Association to provide this information with the purpose of demonstrating the value of and continued involvement with our organization. Prior to executing this agreement, the Exhibitor should review the NCA Annual Convention Policies, which describes how the National Coffee Association uses your information and what rights you have in relation to it, our Code of Conduct and our Be Well policies.
12. PAYMENT AND CANCELLATION. The full tabletop rental fee must accompany this agreement. Cancellations made prior to January 6, 2023 will be subject to a 50% cancellation fee. No refunds will be given on cancellations after January 6, 2023 Replacements from the same exhibiting company are welcome.

13. SUBLETTING OF SPACE. The Exhibitor agrees not to assign, sublet, or apportion the whole or any part of the space allowed without the knowledge of and written consent by, the National Coffee Association. If permission is granted, there will be a $300 administration fee for each sharing company.

14. LIMITATION OF LIABILITY. Neither the National Coffee Association, its agents, employees, officers or directors, nor the Tampa Marriott Water Street, its agents or employees, shall be liable for injuries to the Exhibitor’s person, his or her agents, or his or her employees no matter how sustained (whether from fire, theft, or any other causes). Exhibitor agrees to make no claims against and to protect, indemnify, and hold harmless, the National Coffee Association and Tampa Marriott Water Street against loss, theft, or damage to the Exhibitor’s property or for any injury to persons in the exhibit area. Exhibitor assumes complete responsibility and liability for all loss, damage, or destruction of the Exhibitor’s property. Exhibitor also assumes responsibility and liability for all injury to any and all persons or property in any way connected with the Exhibitor’s display caused by the employees. Exhibitor also agrees to hold harmless the National Coffee Association and the Tampa Marriott Water Street for any strikes; labor disputes; acts of war; threats or terrorist actions; acts of domestic or foreign enemies, riot or other civil unrest; economic hardship for the National Coffee Association or its constituencies; acts of God; fire; flood; natural disaster; municipal utilities failure; facility structural or engineering failure; impairment or lack of adequate technology, or power; curtailment of transportation facilities; medical emergency; or any other force of nature or catastrophic infrastructure breakdown; government law, regulation or order (including governmental advisories, quarantines and curfews) or action by any governmental authority; or any other causes beyond their control, which renders the provision of Tabletop space and/or other deliverables under this agreement undeliverable, commercially impracticable, or illegal by the National Coffee Association and the Tampa Marriott Water Street; under such circumstances, no fees paid by Exhibitors under this agreement will be refundable from the National Coffee Association, nor will compensatory damages be obtainable from the National Coffee Association or the Tampa Marriott Water Street.

15. INSURANCE. All property of the Exhibitor is understood to remain under its custody and control in transit to and from the Tabletop area.  Exhibitor shall, at its sole cost and expense, procure and maintain through the term of this agreement, comprehensive general liability insurance against claims for bodily injury or death and property damage occurring in or upon or resulting from the Exhibitor’s participation in the 2023 National Coffee Association Convention. Such insurance shall include contractual liability and product liability coverage. During the term hereof, the Exhibitor shall maintain Workers’ Compensation insurance in full compliance with all federal and state laws. All insurance coverage shall include a waiver of subrogation.  Any cancellation of an Exhibitor insurance policy, or material alteration of coverage or limits prior to the Exhibition, requires prompt written notification to the National Coffee Association prior to the Exhibition
16. SECURITY. Exhibitor must make provision for the safeguarding of his or her goods from the time they arrive at the display area until the goods are removed. The National Coffee Association and the Tampa Marriott Water Street are unable to provide security in the exhibit area. The Tabletop area is located in the Grand Ballroom Foyer, 2nd Floor and will be accessible to attendees at all times and the public prior to and after Convention hours. Exhibitor assumes complete responsibility and liability for all loss, damage, or destruction of the Exhibitor’s property. Exhibitor agrees to make no claims against and to protect, indemnify, and hold harmless, the National Coffee Association and the Tampa Marriott Water Street against loss, theft, or damage to Exhibitor’s property in the exhibit area.

17. PROTECTION OF THE DISPLAY AREA. Nothing shall be posted on or tacked, nailed, screwed, or otherwise attached to columns, walls, floors or other fixed or flexible elements of the hotel structure, or of similar elements of the Convention or exhibit area, without written permission from the proper hotel authority and the National Coffee Association.

18. INSTALLATION AND DISMANTLING. Exhibitors may begin set-up at 11:00 am on March 9, 2023. All displays must be in place by 5:00 pm, March 9, 2023. Space not occupied or set up by that time may be reassigned for other purposes. Dismantling of displays may begin at 2:15 pm on March 11, 2023, and must not be begun under any circumstances during published Tabletop hours of operation. Dismantling must be completed by 5:00 pm on March 11, 2023.

19. CONDUCT. The National Coffee Association has zero tolerance for discrimination and all forms of harassment, including but not limited to sexual harassment. This zero-tolerance policy means that no form of discriminatory or harassing conduct by or toward any attendee, exhibitor, speaker, Convention staff, Convention venue staff, volunteer, event venue staff, or National Coffee Association staff will be tolerated. In addition, Exhibitors will refrain from unethical and/or unfair business or sale practices. Any Exhibitor who, in the sole opinion of the National Coffee Association, engages in conduct that is discriminatory, harassing, unethical, offensive or that is not in keeping with or appropriate for the Convention may be dismissed from the Tabletop area without refund and may forfeit the opportunity to exhibit in subsequent years.

20. AGREEMENT OF CONDITIONS. Each Exhibitor and its employees agree to abide by these terms and conditions, it being understood and agreed that the sole control of the  tabletop area rests with the National Coffee Association. It is agreed that any redress by an Exhibitor or his representative or both will be at the sole discretion of the National Coffee Association and shall not exceed the cost of renting the exhibit table. Any and all matters or questions not specifically covered by these terms and conditions are subject to the discretion of the National Coffee Association whose decisions will be final. The Exhibitor agrees to accept and abide by such decisions.

21. AMENDMENTS. The National Coffee Association shall have the sole authority to interpret and enforce all terms and conditions contained herein, to make any amendments thereto, and to make further rules and regulations as shall be considered necessary for the orderly conduct of the tabletop displays. Such decisions shall be binding upon Exhibitors.
