Submission of this form confirms the Sponsor’s commitment to the selected sponsorship level and agreement to all associated benefits, payment terms, cancellation policy, and event terms and conditions.

Sponsorships may not be split across multiple entities. Each sponsoring organization must complete its own sponsorship agreement and provide separate billing information for the full amount of its commitment.

By submitting this form, I confirm that I am an authorized representative of the organization listed above and have the authority to enter into this sponsorship agreement. I acknowledge and agree to the selected sponsorship level, associated benefits, payment obligations, cancellation policy, and all terms and conditions of participation in MITM 2026. I understand that submission of this form constitutes a binding commitment to pay the full sponsorship amount as invoiced by ARMI | BioFabUSA.

Terms and Conditions

These Terms and Conditions govern the Sponsor’s participation in The Advanced Regenerative Manufacturing Institute Inc’s (“ARMI”) Meeting in the Millyard. These are the only terms that govern Sponsor’s participation in the Event and no other terms and conditions apply unless specifically agreed to in writing by the ARMI and the Sponsor.

1. Compliance with Event Protocols. Sponsor will comply with all rules of the Event and all reasonable requests of ARMI staff and contractors. Failure to comply with any rules or reasonable instructions may result in expulsion from the event with no refund.

2. Sponsor Name and Logo. Sponsor will provide ARMI with its logos in the format and within the time period specified by ARMI. Sponsor grants to ARMI a limited, non-exclusive, worldwide, royalty free right to use Sponsor’s name and logo in all media in connection with identifying Sponsor as a sponsor of the Event. Sponsor is and shall remain the owner of all its names and logos and the associated trademarks, copyrights, and other intellectual property rights.

3. Indemnification. Sponsor will indemnify, defend, and hold harmless ARMI and its successors, affiliates, assigns, and respective officers, directors, employees, agents from and against all claims, demands, actions, suits, causes of action, damages and expenses (including, but not limited to expenses of investigation, settlement, litigation, and attorney’s fees incurred in connection therewith) arising out of or resulting from Sponsor’s breach of this agreement, gross negligence, willful misconduct, and intellectual property claims arising out of Sponsor’s conduct.

4. Sponsor Eligibility and Acceptance. ARMI | BioFabUSA reserves the right, in its sole discretion, to decline or discontinue a sponsorship if participation would create a real or perceived conflict of interest, regulatory concern, or misalignment with ARMI’s mission, federal obligations, or event objectives.

5. Force Majeure. Neither Party will be responsible for events beyond the reasonable control of the Party, including without limitation, acts of god, war, epidemics, pandemics, disasters, fire, earthquakes, shortages or disruptions of the electrical power supply, acts of terrorism, or similar acts. Under no circumstances will it be held that failure to make payment constitutes an act beyond a Party’s reasonable control.

6. Sponsorships may not be split across multiple entities. Each sponsoring organization must complete its own sponsorship agreement and provide separate billing information for the full amount of its commitment.
Cancellation Policy

Cancellations must be submitted to ARMI | BioFabUSA in writing.

On or before February 28, 2026:
Either party may cancel the sponsorship agreement without penalty, provided written notice is received on or before this date.

March 1, 2026 – April 15, 2026:
If the Sponsor cancels during this period, ARMI reserves the right to retain 50% of the total sponsorship amount to offset committed event costs. Sponsor recognition and benefits may be reduced or discontinued at ARMI’s discretion.

On or after April 16, 2026:
Sponsorship cancellations are non-refundable. ARMI reserves the right to cease recognition of the Sponsor in all event materials and promotional activities.

If ARMI cancels the Event or the sponsorship agreement, the Sponsor will not be required to fulfill any promotional commitments, and any payments made will be refunded or credited at ARMI’s discretion.

Both parties agree to communicate in good faith to mitigate potential disruptions resulting from cancellation.
