Dear Western United Dairies (WUD) Members;

To better represent our California dairy families, the WUD Board and staff are proposing to modify the organization’s bylaws to match the key structural changes made recently to the makeup of the Board of Director’s. The complement of the WUD Board is now 10 Directors following a vote of WUD’s member dairies in 2021 to merge the 12 Districts into 4 Regions. This current bylaws’ change proposal seeks to reset the terms of elected service each of the Director’s will serve to an even/odd, every other year election -with an unlimited number of terms.  Elections for these positions will be held at the end of the calendar year with the seating of the Director in January following the election.
These Regions along with their proportionate 10 Directors with assigned election terms are proposed as the following:
North Coast (Del Norte, Humboldt, Sonoma, Marin Counties) 3 Directors
North Coast 1 2023
North Coast 2 2024
North Coast 3 2023
North Valley (Yuba, Sutter, Glenn, Tehama, Sacramento, San Joaquin Counties) 1 Director
North Valley 2024
Central Valley (Stanislaus, Merced, Madera, Fresno, Kings Counties) 4 Directors
Central Valley 1 2023
Central Valley 2 2024
Central Valley 3 2023
Central Valley 4 2024
South State (Tulare, Kern, San Bernardino, Imperial Counties) 2 Directors
South State 1 2023
South State 2 2024
The following amendments are thereby proposed to the members of WUD -and can be approved by a majority (half plus 1) of the total membership.) The strikeout text is suggested for deletion and the underlined bolded text is proposed for addition. WUD Members are asked to approve or deny these changes by October 31st, 2022, via mail (return envelope provided) or scanned copy of approval to norma@wudairies.com . Article VI
Board of Directors
Section 5. Term
Length of term of directors shall be two(2) years. The terms of the directors shall be staggered to even and odd years, so that, one-half (1/2) of the total number of directors allowed from each district, as determined in Section 1 of Article VI, shall be elected each year by the active members. A Director may serve an unlimited number of terms until replaced by an election of active members, retirement or resignation from the Board. s. After being off the Board of Directors for a period of one (1) year a member may be eligible for re-election.
