JOB DESCRIPTION & EXPECTATIONS SUMMARY

The Board of Directors is responsible for governing the affairs of the Corporation in accordance with its Articles, By-Laws, governance policies, applicable legislation and vision, purpose, and values. The Board of Directors provides strategic leadership, oversight, direction, and assesses risks based on probability and potential impact. The Board of Directors is expected to act in the best interest of the Corporation while considering the diverse needs of the community.

Board members are in the service of the Board. As such, they are bound by Board wishes and by limits of Board authority. Board members may meet as a group with the Executive Director for purposes of preparing agendas and other pre-Board work (as defined by its policy on Committee Process), but they may not act in place of the Board, except as it specifically delegates.


ELIGIBILITY

To be eligible for election to the Board of Directors, a person must:

a. be aged eighteen (18) or older;

b. be interested in furthering the purposes of the Corporation;

c. not have the status of Bankrupt;

d. not hold a paid position with the Corporation;

e. be a person interested in furthering the objects of the Corporation;

f. not be a person who has been found under the Substitute Decisions Act, 1992 or under the Mental Health Act to be incapable of managing property;

g. not be a person who has been declared incapable by any court in Canada or elsewhere; and,

h. not an Ineligible Individual who has made disclosure to the Board as required by section 3.03 of the By-Laws, unless that person has received approval of the Board to remain a Director within thirty (30) days after such disclosure is made.


COMMITMENT

· Meetings take place on the first Tuesday of every month (September to June).

· Six meetings are held virtually, four in person March, June, September and December.

· Meeting time – 5:30 pm - 6:30 pm, most meetings run 45 minutes – one hour.

· CCR board participates in 2-3 professional development opportunities per year, this may extend the current meeting time depending on the topic.

· CCR is high functioning governance board, bylaws and governance policies are current and up to date with Ontario Not-for-profit Corporations Act (ONCA).
