* 1. The Board of Directors of FLCMAA is submitting to the membership the following changes to the Chapter's Bylaws as listed below:

Shall the Chapter’s Bylaws be amended in Article III to make the changes shown in redline as follows:

ARTICLE III - MEMBERSHIP

Section 1.F. Honorary. Upon the written request of three or more members, the Board of Directors may, at their discretion, elect as an Honorary member in the Chapter any individual who has rendered special service of value for the promotion and advancement of the welfare of the Chapter. The written request shall state the nature of the services rendered and the results obtained. When Professional or Retired Professional members of the Chapter are so honored they shall not lose their vote; but in the event an Honorary membership is conferred upon an individual who is not a club manager, or not a Professional or Retired member of the Chapter, such Honorary MemberHonorary Members shall have no right to vote and shall hold no office.

Section 4. Penalties for Non-payment. Any member who shall be in arrears for dues or assessment, or both, for a period of two (2) months from and after November 1 of any year shall may be assessed a late fee and may be dropped from the rolls of the Chapter at the Board’s discretion. The Chapter Office shall notify the member of this action at the last known address shown on the records of the Chapter.

Section 8. Suspension and Expulsion. A member may be suspended for a specific or an indefinite period of time, or may be expelled, for cause, including, but not limited to, violations of these By-Laws or of the CMAA National Association Code of Ethics or other conduct unbecoming a Chapter Member. Such suspension or expulsion shall require the vote of two-thirds of the total members of the Board of Directors following any necessary investigation or hearing by the Chapter Ethics Committee. Written notice of the time and place of the meeting of the Board of Directors at which a member’s suspension or expulsion will be considered shall be sent by registered email and U.S. mail at least 15 days before the hearing to the member under charge at the member’s last known address, together with a written statement of the charges against the member and notice that the member may appear at the meeting to present defenses to the charges.

ARTICLE V – MEETINGS OF MEMBERS AND VOTING


Section 4. Regular Regional Meetings: Each of the four (4) Regions must schedule a minimum of four (4) Regional events pereach year allowing for quarterly Business Meetings with a minimum of two (2) educational opportunities. Regular Regional Meetings shall should be chaired by one of the Regional Directors.

* 3. Shall the Chapter’s Bylaws be amended in Article VI  to make the changes shown in redline as follows:

ARTICLE VI – OFFICERS


Section 1.                 Eligibility: Officer Candidates will have served at least two years on the Florida Chapter Board of Directors within the previous five ten years, and will have attained Certified Club Manager status, or have qualified to take the Certification exam, and shall be in active service as Executives, Club Managers or Assistant Managers during their term of office.

Any Officer temporarily leaving club management for another line of work shallwith the intent to return to club management may with Board approval be deemed no longereligible to remain an Officer and the. The Board of Directors shall have the power and authority to determine the loss of eligibility and fill such vacancy when appropriate. An Immediate Past President may continue to serve in an ex-officio capacity, with voting privileges as a member of the Board of Directors.

ARTICLE VII – BOARD OF DIRECTORS

Section 2. Composition, Eligibility and Manner of Election:

A. Composition: The Board of Directors shall consist of two (2) Directors from each Region and the Officers elected pursuant to Article VI. Any chapter Chapter member operating a Florida club who is a member of the CMAA National Association’s Board of Directors shall alsomay be made a member of appointed by the Chapter Board of Directorsas an ex officio non-voting Director. The President, Vice President, Secretary-Treasurer and Immediate Past President will also serve on the Board of Directors.

* 5. Shall the Chapter’s Bylaws be amended in Article IX to make the changes shown in redline as follows:

ARTICLE IX – COMMITTEES

Section 1.         Nominating Committee. Members accepting appointment to the Nominating Committee shall not be eligible to be a candidate for election as an Officer or Director for the ensuing year. The immediate Past President shall propose a Nominating Committee of which the Immediate Past President shall be chairperson and on which all Regions shall have representation. Other than the Immediate Past President, members of the Nominating Committee may not be current Directors or Chapter Officers, but at least two shall have served on the Chapter Board of Directors within the past eight (8) years. The Nominating Committee will be ratified by the membership at the first Chapter meeting of each year.
