Bylaws of the Saratoga County Historical Society

Dear Member,

Thank you for your on-going support of Brookside Museum, home of the Saratoga County Historical Society.

You may remember that last year, the Board of Trustees reviewed and updated our Strategic Plan to ensure that Brookside continues to thrive and make Saratoga County’s rich history relevant. During our review, we found that our original set of Bylaws, crafted in 1974, didn’t reflect current operating and not-for-profit business practices. To ensure our Bylaws are operationally accurate, enabling Brookside to be consistent with current legal requirements for not-for-profits, we need you, a member in good standing, to vote on the proposed set of amended Bylaws.

NOTICE OF INTENT TO AMEND BYLAWS PROVISION

Notice, as required by Article 10 of the Bylaws of the Saratoga County Historical Society, is hereby given to the members of the Saratoga County Historical Society, dba Brookside, in order to consider and vote on amending the Bylaws at the Annual Meeting on October 16, 2012.

The proposed changes are in entirety of the current Bylaws, ensuring the operations of the Saratoga County Historical Society are consistent with current legal not-for-profit operations. This Notice is being mailed to all members of the Saratoga County Historical Society. Proposed Amended Bylaws as well as Current Bylaws may be viewed online at www.brooksidemuseum.org or at Brookside, 6 Charlton Street Ballston Spa, NY.

The Saratoga County Historical Society’s current Bylaws may be amended by “the affirmative vote of two-thirds of the membership at any Annual or Special meeting of the members, provided that the announcement of such a meeting contain notice of the proposed amendment.” The Annual Meeting will take place on Tuesday, October 16, 2012 at 6:30 pm at Brookside Museum in Ballston Spa. Members who do not plan to attend the Annual Meeting may submit their vote below. Please be sure to include your name and address so that your membership can be verified. All online votes must be submitted by 5pm on October 16, 2012.
