If your artwork is chosen, we will notify you by email. You must be prepared to deliver your artwork to Woodrow Hall at 4:00pm on March 31, 2010, and take your artwork with you after the event. . TERMS AND CONDITIONS. Please note that submitting this application constitutes an agreement to abide by the following terms and conditions. YPBirmingham, Inc. (“YP”) reserves the right to accept or decline this application in its sole discretion.
(a) AGREEMENT. As a condition to entering into this agreement you (the “Artist”) warrant that the artwork you are submitting (the “Work”) is free of any copyright restrictions or intellectual property disputes and is yours to display. You agree to have the Work and your descriptive information displayed at the Color Your Birmingham event to take place on March 31, 2010 at Woodrow Hall in Birmingham, Alabama (the “Event”), and on the YPBirmingham website for promotional purposes. As an inducement for YP to display the Work, Artist has agreed to the release, indemnification, and other provisions set forth herein.
(b) RELATIONSHIP OF THE PARTIES. Nothing in this agreement shall in any way be deemed or construed to constitute the Artist as an agent or employee of YP, nor shall the Artist have the right or authority to act for, incur, assume or create any obligation, responsibility or liability, expressed or implied, in the name of or on behalf of YP, or to bind YP in any manner whatsoever. YP is interested only in displaying the Work and, subject to the terms and conditions hereof, the manner and means of conducting the Artist’s responsibilities are under the Artist’s sole control. In no event shall Artist be entitled to any compensation or fee from YP for displaying the Work, and YP shall not have any responsibilities to promote, sell or attempt to sell any of the Work for, or as the agent or consignee of, Artist. Artist shall be responsible for delivering the Work to the Event, and Artist shall be responsible for any costs of presenting the Work for display. In all cases, the content and installation of the Work shall be subject to the approval of YP. YP may, in its sole discretion, at any time disallow the installation of the Work or require the removal by Artist of any of the Work. Artist shall remove the Work from display immediately after a request from YP or after the Event ends, whichever is earlier. If such Work is not removed, YP may, at the expense of Artist, remove and store such Work. Artist shall leave any location in which the Work is displayed in the same order and condition as when the Work was originally installed at such location, subject to inspection by YP, and shall be liable for any costs and expenses incurred by YP to restore such location to such condition.
(c) RELEASE AND INDEMNIFICATION. Artist accepts all risks associated with any display of the Work, including, without limitation, theft, destruction or injury to the Work due to vandalism, negligence, natural causes or acts of God, or any bodily injury or property damage caused to a third party by the Work. Artist hereby irrevocably and unconditionally releases, remises, acquits and discharges YP and Woodrow Hall, their successors and assigns and their present and former affiliates, officers, directors, employees, agents and representatives (collectively, the "Released Parties") of and from all losses, claims, liabilities, actions, demands, lawsuits, judgments, damages and expenses (including attorneys fees) of any kind and nature, whether known or unknown, suspected or unsuspected, disclosed or undisclosed (collectively, "Claims"), that Artist may have or be entitled to claim at any time, now or in the future, or may previously have had or been entitled to claim against any of the Released Parties arising out of or relating to the Work or the display of the Work at any time. Artist shall indemnify and hold harmless each of the Released Parties from all Claims of any third party that are asserted or that, directly or indirectly, arise out of, relate to, or are connected with any breach of these terms and conditions by the Artist or any display of the Work at any time.
